Terms of Service

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms and Conditions of Use (“Terms and Conditions of Use”).

These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound to the most recent revision of these Terms and Conditions of Use. If you disagree with any part of the Terms and Conditions of Use then you may not access the Service and must stop using it.

1. Terms

SERVICE PROVIDER: The provider of services is an EXPERT.

EXPERT: A natural person or company who acts as a Guuru-registered SERVICE PROVIDER within the scope of a freelance sideline activity.

EXPERTS: When they register for GUURU, SERVICE PROVIDERS become part of the Guuru EXPERT POOL and additionally have the option of joining one or more EXPERT AREAS.

USER: A natural person or legal entity seeking a service from an EXPERT uses GUURU as an intermediary platform to achieve this aim. The provided agreement is reached, the user enters into a relationship with a SERVICE PROVIDER.

PROFILE: A description created by a SERVICE PROVIDER (name, profile picture, skills, etc.), which can be accessed on the GUURU platform.

2. GUURU’s role

With its online platform, GUURU offers a marketplace for EXPERTS (willing to share their expertise) and for prospective consumers of certain services and facilitates contact between them. GUURU is in a contractual relationship with EXPERTS. GUURU also has an agreement with the operator of the site the USER visits, through which the USER requests a service from an EXPERT.

Use of the GUURU platform does not create a contractual relationship, not even a virtual one, between USERS, or prospective USERS, and GUURU Solutions Ltd. Users are not charged any usage fees or commission for services provided.

GUURU, as the platform operator, assumes no liability and furnishes no warranty for the quality of the services, nor of the contents of the PROFILES of the SERVICE PROVIDERS. GUURU shall not under any circumstances become a contracting party itself or assume the position of an agent towards USERS.

GUURU is neither a SERVICE PROVIDER nor a customer of services. GUURU restricts itself to providing the website (see www.guuru.com) as a marketplace and maintaining it in accordance with the Terms and Conditions of Use. GUURU reserves the right to alter or suspend the services at any time without prior notice. No legal claims can be derived in this regard.

No warranty is provided that the platform is continuously available and is error-free.

3. Accounts

By creating an account with GUURU, USERS and EXPERTS must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms and Conditions of Use, which may result in immediate termination of the account for GUURU’s service.

USERS and EXPERTS are responsible for safeguarding the password that they use to access the service and for any activities or actions under their password, whether the password is with GUURU’s service or a third-party service.

USERS and EXPERTS agree not to disclose their password to any third party. USERS and EXPERTS must notify GUURU immediately upon becoming aware of any breach of security or unauthorized use of their account.

USERS and EXPERTS must not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than theirs without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

USERS and EXPERTS grant GUURU a non-exclusive, temporally and geographically unlimited as well as sub-licensable license to the USERS and EXPERTS PROFILE. GUURU is in particular entitled to use the PROFILE of the USERS and EXPERTS and its contents for its own purposes. The license includes both the complete or partial publication of the PROFILE or a historical version thereof on the online platform or in GUURU’s materials as well as its transfer to and use by third parties.

4. Booking of services

USERS may use the GUURU platform without prior registration but are at all times obligated to provide truthful, correct, and accurate information, and to behave honestly.

After an enquiry is received from the USER, GUURU sends it electronically as an invitation to the SERVICE PROVIDERS to resolve the enquiry, recommending themselves by their PROFILE based on various criteria such as availability, area of expertise, rating, etc.

If a SERVICE PROVIDER is ready and willing to provide the requested information, he/she shall accept the request.

5. Limitations

The use of the GUURU platform results in a contract between GUURU and the SERVICE PROVIDER. GUURU may only be used by persons who are legally competent, although GUURU is not in a position to verify this and therefore does not furnish a warranty or assume liability in the event there is no legal competence.

GUURU must not be used for purposes that breach the Terms and Conditions of Use or are otherwise illegal or unethical. The rights of third parties must not be infringed.

GUURU points out the obligations of the SERVICE PROVIDERS, but cannot provide a warranty or assume liability for their conduct. GUURU provides a rating system that promotes compliance with the practices that are expected.

SERVICE PROVIDERS are solely responsible for paying the proper tax and social security charges resulting from their income. GUURU is not an employment service, nor an employer in relation to SERVICE PROVIDERS.

If there are service problems in the relationship between the SERVICE PROVIDER and USERS, there may be cases where relationships are terminated (“cancellation”). As a matter of principle, GUURU leaves it to the aforementioned parties to arrange this independently.

6. Termination

GUURU may immediately terminate or suspend EXPERT or USER accounts without prior notice or liability, for any reason whatsoever and without limitation, if these Terms and Conditions of Use are breached.

Upon termination, the right to use the Service ceases immediately. If EXPERTS or USERS wish to terminate their account, they need simply to discontinue using the Service.

7. Disclaimer

The use of the Service is at the EXPERT’S and USER’S sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

GUURU Solutions Ltd, its subsidiaries, affiliates, and its licensors do not warrant that: a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components, and d) the results of using the Service meet your requirements.

8. Data protection and legal aspects

GUURU shall comply with the applicable data protection legislation. EXPERTS and USERS of the platform generally agree that the information provided by them (including personal information) may be stored and analyzed for the purpose of further development, for customized offers, including targeted advertising, by GUURU and by third parties who are in a contractual relationship with GUURU. Data may be processed abroad.

GUURU shall ensure compliance with the data protection provisions.

To the extent permitted by law, GUURU excludes any warranty or liability of any kind. There is no claim to compensation if it is not possible to use the platform (interruptions, problems). GUURU cannot guarantee that contact will be established successfully.

Subject to any mandatory jurisdictions, Zurich is deemed the exclusive jurisdiction for any disputes related to the use of the GUURU platform. Swiss law applies.

GUURU Solutions Ltd will transmit and disclose information about the contractual relationship between EXPERTS and the USER to the PARTNER.
